These terms govern all project engagements with Maniesh Singh. Please read them before commissioning any work. If you have questions about any clause, ask before signing off on a proposal — not after.
1. Agreement
These Terms & Conditions ("Terms") govern all services provided by Maniesh Singh ("Consultant") to any client ("Client"). By engaging Maniesh Singh for any service — whether through this website, email, WhatsApp, or any other channel — you agree to these Terms.
These Terms apply in addition to any specific project proposal or scope document agreed upon in writing.
2. Services
Maniesh Singh provides website design and development, e-commerce store setup, AI and business automation, custom web application development, and website maintenance services.
The specific scope, deliverables, timeline, and price for each project are defined in a written proposal or statement of work shared before work begins. No work commences without a confirmed scope.
3. Payment Terms
All projects are billed in Indian Rupees (INR) unless otherwise agreed. International clients may be billed in USD or GBP at an agreed exchange rate.
Standard payment structure: 50% advance before work begins, remaining 50% before final delivery or site launch. Larger projects may have additional milestone payments defined in the proposal.
Invoices are due within 7 days of issue unless otherwise agreed. Work may be paused on accounts overdue by more than 14 days.
All prices quoted are exclusive of GST. GST at the applicable rate will be added to invoices where required by law.
4. Revisions & Scope
Each project includes a defined number of revision rounds as specified in the proposal. Revisions are changes to the agreed design or content within the original scope.
Requests that extend beyond the agreed scope — additional pages, new features, redesigns of approved work — will be quoted and billed separately.
Revision requests must be submitted in writing (email or WhatsApp). Verbal revision requests will not be actioned until confirmed in writing.
5. Client Responsibilities
The Client is responsible for providing all required content (text, images, logos, branding guidelines) by the agreed deadline. Delays caused by late content delivery will extend the project timeline accordingly and are not the Consultant's responsibility.
The Client warrants that all content provided does not infringe any third-party copyright, trademark, or other intellectual property rights.
The Client is responsible for providing timely feedback at each stage. Unreasonable delays (more than 14 days without response) may result in the project being paused or rescheduled.
6. Intellectual Property
Upon receipt of full and final payment, the Client owns all custom design assets and code created specifically for their project.
The Consultant retains the right to display the completed work in their portfolio, case studies, and marketing materials unless the Client requests otherwise in writing before the project begins.
Third-party assets (stock images, fonts, plugins, themes, frameworks) remain subject to their respective licences. The Client is responsible for maintaining any ongoing licences required to operate their site.
7. Post-Launch Warranty & Maintenance
Every project includes a handover session, training, and a build defect warranty. Bugs and technical issues directly caused by our build will be fixed at no additional charge, with no time limit on this warranty.
Support for issues caused by Client actions, content changes, platform updates, or third-party plugins is not included in the project price and requires an active care plan.

8. Warranties & Limitations
Maniesh Singh warrants that all work is performed with reasonable skill and care, and that deliverables will substantially conform to the agreed scope.
The Consultant does not guarantee specific business outcomes (traffic, sales, rankings) as these depend on factors outside their control including the Client's business, market conditions, and third-party platforms.
Liability for any claim arising from services provided is limited to the total fees paid by the Client for the specific project in question.
9. Cancellation
Either party may terminate a project by providing 14 days written notice.
If the Client cancels: all work completed to date will be invoiced and must be paid. The advance payment is non-refundable.
If the Consultant cancels due to circumstances beyond their control: all work completed to date will be delivered and any advance for uncompleted work will be refunded proportionally.
10. Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the course of the project. This does not apply to information already in the public domain.
11. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or from services provided shall be subject to the jurisdiction of the courts of Jaipur, Rajasthan.
12. Changes to These Terms
Maniesh Singh reserves the right to update these Terms at any time. The version in effect at the time of a project proposal governs that engagement. Updated Terms apply to new engagements only.
